Important Changes in Real Estate Transactions
Recent important developments affecting the property sale and purchase process and, in particular, the submission of sale contracts to the Department of Lands and Surveys, have been introduced.
These changes form part of a broader modernization framework of the process and have already begun to be implemented in practice.
- Abolition of notifications regarding encumbrances and process modernization
Based on a recent court decision and a relevant legal opinion of the Law Office of the Republic of Cyprus, the Department of Lands and Surveys is no longer obliged to inform buyers, at the stage of submitting a sale contract, of any encumbrances or burdens affecting the property, such as mortgages, memos, court orders, or other registered third-party rights. As a result, the previous practice of informing buyers upon registration of the contract is officially terminated.
This change is based on the position that such notification at this stage is considered ex post, since the contract has already been signed by the parties, while it was also deemed that the procedure created additional administrative burden and delays in processing and registering contracts. Consequently, the substantive verification of the legal status of the property is now transferred to the buyer and their legal advisors prior to entering into the agreement.
It is reminded that, under the 2023 amendment (Law 132(I)/2023), the seller is required to attach a Search Certificate as an integral part of the sale contract. The Certificate must have been issued within five working days prior to the date of signing the contract, so as to accurately reflect the true legal status of the property at the critical time of the transaction.
This regulation aims to ensure that the buyer has full and timely information about the property before being contractually bound, through obtaining and reviewing the Search Certificate and conducting comprehensive legal and technical due diligence. At the same time, it substantially shifts the burden of preventive checks to the period before the agreement is signed, reinforcing the importance of early legal guidance and proper preparation of the parties in each property transaction.
- New contract submission forms
The Land Registry is introducing new standardized forms that replace the previous form DE 129:
- DE 314 – Sale Contracts
- DE 315 – Exchange Contracts
- DE 316 – Consideration Contracts
The new forms have been uploaded to the electronic portal of the Department of Lands and Surveys, with the possibility of electronic submission. Their aim is a more structured and clear presentation of data through standardized information entry, in order to reduce errors and unnecessary delays, as well as to facilitate the processing of applications.
- What these changes mean
These developments significantly and directly affect how every property transaction is handled, both at the preparation stage and in terms of compliance with the procedures applied by the Department of Lands and Surveys. The introduction of new forms and their electronic submission creates a stricter but more organized framework for processing applications and property transfers.
For buyers, it is now essential to carry out a full legal and technical due diligence of the property before signing any agreement. The due diligence process becomes particularly important, as it examines all substantive aspects relating to the property, such as ownership status and any encumbrances or mortgages. In this context, obtaining a Search Certificate before entering into the contract and assessing any risks is now considered a necessary condition to safeguard the buyer’s interests and avoid future legal or practical issues.
At the same time, sellers face a significantly increased obligation to comply with the new procedures and requirements. Timely preparation and collection of all necessary documents is of critical importance both during negotiations and contract execution, as well as at the stage of submitting the contract to the Land Registry Office. Improper or incomplete submission of information may lead to delays and rejection of applications. Therefore, proper guidance from legal and technical advisors and timely compliance with the new requirements are now essential elements for the smooth completion of any property transaction.
